Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the G-Flex healthcare benefits administration platform ("Platform") operated by Genesis Flex Sdn. Bhd. (Company No. 1247193-X) ("G-Flex", "we", "us"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

For corporate clients and panel merchants/clinics, these Terms are supplementary to the separate written services agreement, panel provider agreement or master agreement entered into with G-Flex. In the event of any conflict between these Terms and such an agreement, that agreement shall prevail to the extent of the conflict for that party.

2. Definitions

• Platform: The G-Flex web application, mobile application, and all associated services
• User: Any individual or entity accessing the Platform, including administrators, corporate HR personnel, panel merchants/clinics, and members/employees
• Account: The registered profile created for a User to access the Platform
• Content: All data, text, files, documents, and information submitted to or generated by the Platform

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying G-Flex immediately of any unauthorised access or security breach
• Ensuring that your account information is accurate and up to date

G-Flex reserves the right to suspend or terminate accounts that violate these Terms or are involved in suspicious activity.

4. Acceptable Use

You agree to use the Platform only for its intended purpose of healthcare benefits administration. You shall not:

• Attempt to gain unauthorised access to any part of the Platform or its infrastructure
• Use the Platform to transmit malware, viruses, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Platform
• Submit false, misleading, or fraudulent claims or data
• Share your account credentials with any other person
• Use automated tools (bots, scrapers) to access or extract data from the Platform
• Violate any applicable Malaysian or international law in your use of the Platform

5. Data Accuracy

Users are responsible for the accuracy, completeness, and timeliness of all data submitted to the Platform, including but not limited to member information, claims data, medical records, and financial details. G-Flex is not liable for decisions made based on inaccurate data submitted by Users.

6. Healthcare Disclaimer

The Platform is a benefits administration tool and does not provide medical advice, diagnosis, or treatment recommendations. Medical decisions remain the sole responsibility of licensed healthcare professionals. G-Flex does not endorse or guarantee the quality of care provided by any panel clinic or merchant listed on the Platform.

7. Intellectual Property

All intellectual property rights in the Platform, including software, design, logos, trademarks, and documentation, are owned by Genesis Flex Sdn. Bhd. or its licensors. Users are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose during the term of their subscription or employment.

You retain ownership of the data you submit to the Platform. By submitting data, you grant G-Flex a licence to process, store, and display that data solely for the purpose of providing Platform services.

8. Service Availability

G-Flex strives to maintain Platform availability but does not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

• Scheduled maintenance (communicated in advance where practicable)
• Emergency security patches or infrastructure updates
• Force majeure events beyond our reasonable control

G-Flex shall not be liable for any loss or damage resulting from temporary service unavailability.

9. Limitation of Liability

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Malaysian law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any statutory liability under the Personal Data Protection Act 2010. Subject to the foregoing, and to the maximum extent permitted by Malaysian law:

• G-Flex's total aggregate liability shall not exceed the greater of (a) the fees paid by the User (or the User's corporate employer) in the 12 months preceding the event giving rise to the claim, or (b) RM 1,000 for Users who pay no fees (such as members and employees)
• G-Flex shall not be liable for indirect, incidental, consequential, or punitive damages
• G-Flex shall not be liable for losses arising from User-submitted inaccurate data, unauthorised account access due to User negligence, or third-party actions beyond our control

10. Indemnification

You agree to indemnify and hold harmless Genesis Flex Sdn. Bhd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Platform, or violation of any applicable law.

11. Termination

G-Flex may suspend or terminate your access to the Platform:

• For breach of these Terms
• Upon expiry or termination of your corporate employer's service agreement with G-Flex
• If required by law or regulation
• If your account is inactive for more than 12 consecutive months

Upon termination, your right to access the Platform ceases. Where lawful and technically practicable, G-Flex will make your data available for export for a period of thirty (30) days following termination, after which data retention, anonymisation and deletion are governed by our Privacy Policy and applicable Malaysian law.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia. Before commencing legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

13. Electronic Communications & Records

You consent to receiving communications, notices, guarantee letters, invoices and other documents from us in electronic form, whether via the Platform, email or in-app notification. You agree that electronic records, consents and acceptances (including click-through acceptance of these Terms) satisfy any legal requirement that such records be in writing, in accordance with the Electronic Commerce Act 2006 and the Digital Signature Act 1997.

14. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy and any applicable services, panel or master agreement, constitute the entire agreement between you and G-Flex regarding the Platform.
• Severability: If any provision is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• No waiver: A failure or delay by G-Flex in exercising any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. G-Flex may assign these Terms to an affiliate or successor in connection with a reorganisation, merger or sale of assets.
• Force majeure: G-Flex shall not be liable for any failure or delay in performance caused by events beyond its reasonable control.

15. Changes to These Terms

G-Flex reserves the right to modify these Terms at any time. Material changes will be communicated via in-app notification at least 14 days before taking effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree with any changes, you should discontinue use of the Platform.
